These Terms of Service (“Terms”) are a contract between you (“Client,” “you,” or “your”) and BBSync (“BBSync,” “we,” “us,” or “our”), governing your use of the BBSync Services. By registering for, purchasing access to, accessing, or using the BBSync Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the BBSync Services.
If you are entering into these Terms on behalf of an entity, you represent and warrant that you have the authority to bind that entity, and “you,” “your,” or “Client” will refer to that entity.
1. Definitions
• BBSync Services: Access to the BBSync platform, including all features, content, products, and functionality provided by BBSync.
• Client Data: Data you or your users submit, upload, or store in the BBSync Services.
• Subscription: The usage rights and associated fees for BBSync Services as selected by you.
• User: An individual authorized by you to use the BBSync Services on your behalf.
2. Scope of Use
Subject to these Terms and payment of applicable fees, BBSync grants you and your authorized Users the right to access and use the BBSync Services during the Subscription Term and within the scope of your Subscription. The Services may only be used for your internal business purposes and not for the benefit of any third party.
3. Account Registration and Security
You must provide accurate and complete information when registering for an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. 4. Subscription Term, Renewal, and Payment
Your Subscription Term begins on the date of purchase and continues for the period specified (monthly or annually). Subscriptions automatically renew unless canceled before the renewal date. Fees are non-refundable except as required by law or as otherwise stated in these Terms.

Either party may terminate these Terms for cause if the other party breaches any material term and fails to cure the breach within 30 days of notice. Upon termination, your access to the Services will cease, and BBSync will delete your Client Data within 180 days, unless otherwise required by law. Outstanding payment obligations survive termination.
9. Intellectual Property
All intellectual property rights in the BBSync Services, including software, content, and trademarks, belong to BBSync or its licensors. You may not copy, modify, or create derivative works based on the Services.
10. Disclaimers and Limitation of Liability
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, BBSync disclaims all warranties, express or implied. BBSync’s aggregate liability for any claim relating to these Terms or the Services will not exceed the fees paid by you for the Services in the six months preceding the claim.

You agree to indemnify and hold harmless BBSync, its affiliates, and their officers, directors, and employees from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.
